Managed Website Hosting Terms & Conditions

These Managed Website Hosting Terms & Conditions (“Agreement”) govern the hosting services provided by Varko Technologies, LLC (“Provider”) to the Client.

1. Services

2. Monthly Pricing

Managed Website Hosting is billed as follows:

The AutoPay discount applies only while an approved recurring payment method remains active. If AutoPay is canceled, declined, or otherwise removed, the monthly rate automatically reverts to the standard rate of $54.00 beginning with the next billing cycle.

3. Billing

Invoices are issued at the beginning of each billing period and are due upon receipt.

The Client agrees to maintain accurate billing information and a valid payment method if enrolled in AutoPay.

Hosting fees are billed in advance for the upcoming service period.

4. Late Payments & Suspension

If payment has not been received within 30 days of the invoice due date, Provider reserves the right to suspend all hosting services without further notice.

Suspension may include:

Restoration of suspended services will occur only after all outstanding balances have been paid in full.

Repeated late payments may result in termination of services at Provider’s discretion.

Hosting includes up to 30 minutes of minor website updates each calendar month.

Examples include:

Unused time does not roll over.

Website redesigns, new functionality, programming, SEO, custom development, content creation, or graphic design are not included.

Additional work is billed at $135.00 per hour, billed in 15-minute increments.

7. Website Migrations

If the Client requests assistance moving their website away from Provider’s hosting, Provider can perform the migration for a flat fee of $175.00.

Provider is not responsible for outages or failures caused by third-party services, including but not limited to:

Provider performs routine backups and security monitoring as a convenience.

While reasonable efforts are made to maintain recoverable backups, Provider cannot guarantee backup availability or recovery in every circumstance.

Clients are encouraged to maintain independent backups of important data.

The hosted website may not be used for:

Provider reserves the right to immediately suspend service for violations.

12. No Reseller Agreement

Managed Website Hosting is provided directly to the website owner or authorized business entity.

Hosting services may not be resold, white-labeled, bundled, or offered through third parties without a separate written Reseller Agreement executed by both parties.

Any party referring a client to Provider does so solely as a referral and does not acquire any ownership, control, or contractual rights regarding the hosting service unless expressly agreed to in writing.

13. Cancellation

Either party may cancel hosting at any time with written notice.

Hosting fees already billed are non-refundable.

The Client remains responsible for all outstanding balances incurred prior to cancellation.

14. Limitation of Liability

Provider shall not be liable for any indirect, incidental, consequential, special, or lost-profit damages arising from the use or inability to use the hosting services.

Provider’s maximum liability shall not exceed the amount paid by the Client for hosting services during the preceding twelve (12) months.

15. Entire Agreement

This Agreement constitutes the complete understanding between the parties regarding managed website hosting and supersedes any prior verbal or written discussions.

By using the hosting services, the Client acknowledges that they have read, understood, and agree to these Terms & Conditions.
